Welcome to Becker Data USA, LLC (“Company,” “we,” “our,” or “us”). These Terms of Service (“Terms”) govern your access to and use of our database subscription service, the Becker Pharmaceutical Intelligence Database (BPID), Becker Intermediates Catalogue (BIC), Future Generics Database (FGD), Worldwide API Producers Database (WAPD) including our website, APIs, datasets, and related software (collectively, the “Service”).
By subscribing to or using the Service, you (“Customer,” “you,” or “your”) agree to these Terms. If you are entering into this agreement on behalf of an organization, you represent that you have the authority to bind that entity.
1. Service Description
The Service provides access to the Becker Pharmaceutical Intelligence Database (BPID), which offers structured pharmaceutical, market, and analytics data. Access is provided on a subscription basis according to the plan selected by the Customer.
2. Account Registration
To access the Service, you must create an account. You agree to provide accurate and complete information and to maintain the confidentiality of your login credentials. You are responsible for all activity under your account.
3. Subscription and Payment
- Fees: Subscription fees billed according to your plan and is dependent upon which modules you subscribe to.
- Renewal: Subscriptions automatically renew unless cancelled prior to renewal.
- Refunds: Fees are non-refundable except as required by law.
- Taxes: Prices exclude applicable taxes, which are your responsibility.
4. License and Usage Rights
Subject to these Terms, Becker Data USA, LLC grants you a limited, non-exclusive, non transferable license to access and use the Service solely for your internal business purposes.

- Resell, sublicense, or share access to the Service.
- Reverse-engineer or scrape the database contents.

5. Data Ownership and Intellectual Property
All data, content, and software within the Service are owned by Becker Data USA, LLC or its licensors. No ownership rights are transferred to you. You retain rights to your own uploaded or derived data.
6. Acceptable Use
You agree not to:
- Use the Service in a manner that could harm or impair it.
- Circumvent security measures or usage limits.
- Use automated systems or scraping tools without prior written consent.
7. Confidentiality
Both parties agree to maintain the confidentiality of all non-public information disclosed in connection with these Terms, including proprietary data and system information.
8. Privacy
Our collection and use of personal information are governed by our Privacy Policy, available at www.beckerdata.com/privacy.
9. Termination
We may suspend or terminate your access to the Service if:
- You breach these Terms;
- Required by law; or
- For non-payment

Upon termination, your access to the BPID platform will cease, but obligations such as confidentiality and payment will survive.
10. Disclaimers
The Service is provided on an 'as is' and 'as available' basis without warranty of any kind. Becker Data USA, LLC does not guarantee the accuracy, completeness, or uninterrupted availability of the data or Service.
11. Limitation of Liability
To the maximum extent permitted by law, Becker Data USA, LLC’s total liability for any claim arising out of or related to the Service will not exceed the amount paid by you in the preceding twelve (12) months.
12. Indemnification
You agree to indemnify and hold harmless Becker Data USA, LLC from any claims, damages, or losses resulting from your misuse of the Service or violation of these Terms.
13. Modifications
We may modify these Terms at any time by posting an updated version on our website. Continued use of the Service after changes constitutes acceptance of the revised Terms.
14. Governing Law
These Terms are governed by the laws of the State of Texas, United States of America, without regard to conflict of laws principles. Any disputes shall be resolved exclusively in the courts of the State of Texas, United States of America.
